Socxly Terms & Conditions

The Fine Print.

Socxo ("Socxo"), the entity owner of the product/application service 'Socxly', including its LinkedIn Hub feature suite described in this ToS, and the domains 'socxo.com', 'socxly.com', 'socx.ly' and any other similar domains, validly assumes that You have read, understood and agreed to these Terms of Service or Terms & Conditions ("ToS") and information provided about the application service Socxly (the "App") accessed through the Socxo website prior to, and on, availing Yourself of the Services from Socxly. If You wish to view the Terms of Service for the website of Socxo and the application service of Socxo's flagship Employee Advocacy platform, please refer to the Terms and Conditions at www.socxo.com.

You shall not register or utilise the Services provided by Socxly if You do not agree with any of the terms in this ToS, and Your registration for the Services of Socxly shall be deemed acceptance. A legally valid contract is executed between You and Socxo (the entity owner of Socxly) once You agree to this ToS by clicking "I Agree" at the time of Sign Up or Sign In, and You shall be bound by these terms until termination. Socxly is strictly an enterprise/professional platform intended for companies, enterprises, firms and their authorised and approved users, and for individual users who explicitly accept these terms.

1) Introduction

1.1 Socxly aims to make digital content marketing and sharing easy and efficient by enabling digital marketers, digital sales and digital business users to create short links for their content URLs and specific document files, and to enhance them with associated features such as call-to-action, social cards, pixel marketing code, UTM builder, URI parameters and similar allied services, besides tracking and measuring the performance of such content.

1.2 Socxly also enables brand/social marketers to create, schedule and publish content to their respective company/business/brand pages on various social media platforms and communication apps.

1.3 Socxly will create a default short URL/link for any content URL (long or original) used by You as a free, beta or paid user, with a domain URL of socx.ly or a similar domain registered and owned by Socxo.

1.4 Socxly may also offer You, as a paid user and/or specific plan user, an option to customise the domain of the short URL/link for Your content URL, subject to You establishing the right, authority and ownership of the domain used for such customisation.

1.5 Socxly also provides integration with third-party content discovery, search apps, social listening and social metrics platforms to support content, social and digital marketing capabilities on the application service.

1.6 Socxly, as a foundation content and social marketing platform with allied services (the "Services"), is provided as a "Software as a Service" ("SaaS") model by Socxo through the website www.socxo.com and through the application domain www.socxly.com and the Socxly mobile and browser extension applications. Socxo, www.socxo.com and the Socxly web, mobile and extension applications are owned and operated by Socxo Pte. Limited, 2, Venture Drive, #08-28 Vision Exchange, Singapore 608526. The terms "Socxo", "Socxly", "We", "Us", "Our", "www.socxo.com" or "www.socxly.com" shall include Socxo Pte. Limited. The terms "You", "Your", "Yours", "User" ("Authorised User") mean the Entity (Company/Enterprise/Corporation/Partnership/LLP/Society/Trust/Proprietary concern) or the Individual described as eligible in Clause 4.2, who has registered at www.socxo.com or www.socxly.com and is availing itself of the Services.

1.7 Repositioning to LinkedIn Hub. In addition to its flagship Employee Advocacy Platform and Program offered at www.socxo.com, Socxo owns and operates Socxly (www.socxly.com). Socxly's existing Short Link / Smart Link feature set (including the Always-Free Plan and Priced Plans referenced in Clause 11) continues to be offered. Socxly is additionally being repositioned and expanded from a short-link and adjacent-feature provider into "LinkedIn Hub", a LinkedIn-focused Social Media Management tool, the features of which are described in Clause 10 of this ToS.

1.8 Individual Users and Business Users. LinkedIn Hub is designed to serve two categories of Authorised Users: (a) "Individual Users", being Leadership, B2B Influencers, Employee Influencers, B2B Social Authors and Senior Executives seeking to build personal branding, thought leadership and subject-matter-expertise presence on LinkedIn; and (b) "Business Users", being Company/Brand Marketers seeking to create, manage and analyse their organisation's LinkedIn Brand Pages and posts. References to "You" or "User" in this ToS apply equally to Individual Users and Business Users unless otherwise specified.

1.9 Socxly's Short Link repository, in combination with LinkedIn Hub activity, further helps identify key topics of interest to a User over time, enabling the Socxly AI system to build a persona of the Individual User or Business/Brand Marketer for the purpose of improving relevant recommendations, analytics and Post Intelligence outcomes described in Clause 10.

1.10 This ToS is effective upon registration and activation of Your account (trial or paid version). On registration, You are granted a limited licence to use Socxly, and Socxly will provide the Services You elected to receive, subject to this ToS. By accepting this ToS, You further agree to be bound by any amendments to this Agreement or to terms incorporated herein by reference.

2) Definitions

i) "AI Features" or "Generative AI Features" means any feature within Socxly or LinkedIn Hub that uses a generative AI, large language model (LLM) or similar machine-learning model to generate, suggest, modify or optimise text, images, links or other output, including but not limited to AI Post Text Generation, post ideation, image modification and the AI ideation chat.

ii) "Business User" means a Company/Brand Marketer or an Entity's Authorised User who uses LinkedIn Hub to create, manage and analyse a company or brand LinkedIn Page and its posts.

iii) "Individual User" means a natural person Authorised User, including Leadership, B2B Influencers, Employee Influencers, B2B Social Authors and Senior Executives, who uses LinkedIn Hub for personal branding, thought leadership or subject-matter-expertise purposes.

iv) "Inactive Account" means a Registered User account that has not been logged into or otherwise accessed for a continuous period of 60 days, as further described in Clause 6.

v) "LinkedIn Hub" means the LinkedIn-focused Social Media Management feature suite of Socxly described in Clause 10, including AI Post Creation, scheduling and publishing, Analytics, Post Intelligence, Pulse Article creation, Comment DM, Post Calendar and related features.

vi) "Misuse" means any use of the Services, the platform or its AI Features for illegitimate or illegal purposes, or in violation of this ToS or applicable law, as further described in Clause 6.6 and Clause 7.

vii) "Post Intelligence" means the LinkedIn Hub feature that identifies and displays the names and LinkedIn profile URLs of persons who have engaged (liked, reacted to or commented on) a User's LinkedIn posts, as described in Clause 10.5.

viii) "Socxo Signals" means Socxo's upcoming AI-native Buyer Intelligence and Sales Enablement platform, which may consume Post Intelligence and other Socxly data to help identify potential customers, partners and employees, as described in Clause 10.6.

ix) "Tokens" or "Credits" means the consumption-based unit(s) allocated to a User's plan for use of metered LinkedIn Hub features, as described in Clause 11.5 to 11.9.

3) Applicability

3.1 All terms, conditions and policies, including the Privacy Policy, disclaimers and third-party terms of usage incorporated by reference herein, constitute the terms of Your usage of the Services and form part of this ToS.

3.2 By registering for Socxly through www.socxo.com and/or www.socxly.com and/or utilising the Services (including LinkedIn Hub), You ("Authorised User(s)") unconditionally agree to be bound by this ToS and all terms herein, including policies and disclaimers incorporated by reference. If You do not agree to any of the terms, You shall not use the Services, and use of the Services shall be deemed acceptance.

4) Registration

4.1 Registration. Registration to the Service is mandatory. You ("Authorised Users") unconditionally accept and consent to registration of the Service and domain with Socxly. The registration process, procedure and pricing shall be as per information provided by the Socxly web application, website, campaign materials and mobile application, and may be updated periodically. We reserve the right to refuse the Services to anyone for any reason at any time without assigning reasons.

4.2 Eligibility. You are eligible to register only if:

x) You are an Entity (company, body corporate, LLP, partnership firm, society, trust or proprietary business) or an individual in his/her own capacity deemed fit and eligible to avail the Services as an Individual User or Business User;

xi) You are, as an individual (“Authorised User”), of or above 18 years of age and competent to enter into a valid contract under the Civil Law Act (Cap. 43) of Singapore Law. Persons who are 'incompetent' to contract, including minors and undischarged insolvents, are not eligible to register;

xii) If representing an Entity, You (as agent, employee, director, partner or proprietor) have complete authority to register for the Service on the Entity's behalf. Socxo presumes such person is competent to contract, and shall have no liability if such person is later found incompetent; in such event You shall ratify their acts, which shall bind You;

xiii) You and Your Authorised User(s) unconditionally agree to all terms of this ToS, including policies and end-user licence terms incorporated by reference, regardless of the access channel used; and

xiv) You have paid the required service fee unless provided a free trial, beta or evaluation access under Clause 4.3.

4.3 Evaluation.

xv) You may evaluate the Services on a free or trial basis ("Trial or Free Version") through automated free registration on Socxo or Socxly.

xvi) Feature availability may be limited on the Free/Trial Version; not all paid-version features or LinkedIn Hub Token allocations may be available.

xvii) Socxo/Socxly on its own discretion shall decide the duration of the free evaluation period, on completion of which You may stop the Services or continue by paying the applicable subscription price or fee, or by remaining on an available free version with limitations.

xviii) You unconditionally agree to all terms of this ToS regardless of the access channel used.

xix) Where applicable, You have paid the required service fee unless provided free evaluation access.

4.4 Payment.

xx) You must make payment prior to availing Yourself of Paid Plan Services offered after expiry of the Free Trial/Beta version.

xxi) You may choose Annual, Quarterly or Monthly subscription cycles, with corresponding Terms of 360, 90 or 30 days. Renewal payment must be made before expiry of Your Term to continue the Services. Please refer to the Socxo/Socxly Pricing page, including free usage limits, Subscription Plan costs and, where applicable, Token/Credit allocations described in Clause 11. Plan cycles are pro-rated to the start of each calendar month at Socxo's discretion, on a case-by-case basis in accordance with the applicable Terms of Purchase.

xxii) You may be required to make additional "pay per use" payments for Value Added Services (Clause 12.2) or for additional Tokens/Credits (Clause 11.7) if You opt to avail Yourself of such services.

xxiii) Payments are non-refundable if You stop using Our Services before expiry of Your Subscription Plan/Term.

xxiv) Socxo will provide one-time and/or recurring billing and invoicing services (offline or online) enabling payment for subscribed Services. Invoice alerts, payment dues and receipts will be sent by email and/or notification alerts on the web portal or mobile application.

xxv) Socxo will provide certified, secure third-party online payment gateway services to collect and settle payments via credit card, debit card, internet banking or similar digital payment mechanisms.

xxvi) Secure online payment may be provided via a payment link for generated invoices or direct access through a secure payment gateway provider on Socxly and/or Socxo's website.

xxvii) Socxo/Socxly will not hold Your digital payment details beyond what is provided by the secure third-party payment gateway provider and the last four digits of Your card.

xxviii) You agree that online payments may be subject to transaction fees, foreign exchange fees or other fees charged by the third-party payment gateway provider or Your bank/card issuer.

xxix) Payments made in error should be reported immediately to support@socxly.com; We will address such requests as soon as reasonably practicable.

5) User Accounts

5.1 Socxly currently provides Single User Accounts per registration on the Socxly application domain, handled by You based on Your eligibility under Clause 4.

5.2 Socxly plans to offer multiple-user enterprise business accounts with User Roles such as Super Administrator, Billing Administrator and Application User, invited by email and governed by role-based access. The registering Entity may designate a single or multiple users to such roles as it deems fit, including for management of LinkedIn Hub Business User access to Brand Pages.

5.3 The detailed rights, powers, roles and feature controls of such Super Administrator/Billing Administrator/Application User roles apply as defined in the respective Free or Paid Subscription Plans of the Socxly application service.

5.4 As an Authorised User, You accept that You have the power to create, curate, edit, convert, screen and approve/reject all content, including but not limited to HTTP/HTTPS links, web feeds, social URLs, files, documents, pictures, write-ups, promotional content, text, brand/company content, graphics, videos, LinkedIn posts, Pulse Articles and AI-generated content, whether created by You or otherwise on behalf of Your Entity or sourced from the Internet or an AI Feature, and displayed on the Socxly application service, including LinkedIn Hub.

5.5 You shall be solely responsible for registering, inviting, managing, monitoring, suspending and terminating access under this Service; Socxly/Socxo does not have access to Your User Account or management of Your Users' access, except as set out in Clause 6.

6) Account Inactivity, Misuse, Suspension and Data Deletion

6.1 Inactivity Removal. If a Registered User does not log in to or otherwise access their Socxly account (including LinkedIn Hub) for a continuous period of 60 days, Socxo/Socxly reserves the right to remove such User's account access and to permanently delete all data associated with that account on Socxly, including but not limited to short links, post drafts, scheduled posts, analytics, Post Intelligence data, Tokens/Credits and any other Content or configuration held in the account.

6.2 Inactivity Notice. Socxo/Socxly will send a notice of impending inactivity-based removal to the Registered User's registered email address (and, where available, via in-application notification) approximately 15 days before the end of the applicable 60-day inactivity period, to afford the User an opportunity to log in or otherwise access the account and avoid removal and deletion.

6.3 Effect of Non-Response. If the Registered User does not log in or access the account within the notice period referred to in Clause 6.2, the account and all associated data may be permanently deleted upon expiry of the 60-day period, without further notice and without any obligation on Socxo/Socxly to retain, export or restore such data.

6.4 No Recourse. Deletion of data under this Clause 6 (whether for inactivity or misuse) is permanent. Save as required by applicable law, Socxo/Socxly shall have no obligation to recover, restore or provide access to deleted data, and shall not be liable for any loss arising from such deletion.

6.5 Renewal Plans Unaffected. Where a Paid Plan subscription remains active and unexpired, the 60-day inactivity count under this Clause 6 is independent of Your Subscription Plan/Term under Clause 4.4, and inactivity-based removal may still apply irrespective of an active paid subscription, unless expressly agreed otherwise in writing between You and Socxo.

6.6 Misuse, Immediate Termination Without Notice. Notwithstanding Clause 6.1 to 6.3 and Clause 17 (Suspension of Services), where a Registered User misuses the Socxly platform, LinkedIn Hub or any AI Feature/capability for any illegitimate or illegal purpose, or in a manner that violates this ToS, the acceptable use provisions of Clause 7, or applicable law in any manner whatsoever ("Misuse"), Socxo/Socxly reserves the right to immediately and permanently remove such User's account access and delete all associated data, without prior notice and without affording an opportunity to cure. Examples of Misuse include, without limitation, use of AI Features to generate or distribute unlawful, fraudulent, defamatory or infringing content; unauthorised scraping or extraction of Post Intelligence or other User data; circumvention of platform security; and any conduct described in Clause 7.

6.7 No Refund. No refund shall be due for any unexpired portion of a Subscription Plan, Term or unused Tokens/Credits where an account is removed under this Clause 6, whether for inactivity or Misuse.

7) Acceptable Use

7.1 You acknowledge total responsibility and risk associated with Your use of the Services in creating, converting, editing and/or sharing Content through Socxly Short Links, LinkedIn Hub posts or otherwise, on social media or similar apps. Content is created/curated by You, and Socxo/Socxly assumes no liability with respect to Content, as Socxo/Socxly does not monitor or control Your Content.

7.2 Socxo/Socxly does not endorse, support, represent or guarantee the completeness, truthfulness, accuracy or reliability of any Content posted by You or on behalf of any other User or Entity, and shall not be liable, directly or indirectly, for any loss or damage caused or alleged to have been caused in connection with any Content posted by a third party on any social media platform.

7.3 You unconditionally agree that You will not create, curate, edit, compile, convert, post or transmit, nor permit any unregistered or unauthorised user to do so on Your behalf, via the Services (including LinkedIn Hub and its AI Features), any content that:

xxx) contains profanity;

xxxi) is false, inaccurate or misleading;

xxxii) contains viruses or other malicious/harmful code, currently known or futuristic, or other disruptive or harmful components;

xxxiii) constitutes cyberbullying, spam, junk or other unsolicited commercial communications;

xxxiv) is indecent, insulting, false, defamatory, inaccurate, libelous, tortious, abusive, vulgar, hateful, racist, bigoted, sexist, harassing, threatening, inflammatory, obscene, profane, pornographic, or promotes or assists violence, significant risk of death or injury, or other unlawful activity;

xxxv) infringes or misappropriates any third party's copyright, patent, trademark, trade secret or other proprietary rights, unless You hold the necessary rights;

xxxvi) violates or infringes any law relating to a person's right to privacy, data protection or publicity, or other rights of any party, including in respect of names and LinkedIn profile URLs obtained via Post Intelligence (Clause 10.5 to 10.6);

xxxvii) violates copyright, trademark or other intellectual property rights;

xxxviii) contains advertisements, solicitations or links to illegal activity, including money laundering and gambling;

xxxix) is objectionable on grounds of public interest, public morality, public order, public security or national harmony, or hurts religious sentiments or instigates hatred, or is otherwise prohibited by applicable law;

xl) violates any law or statute, or engages in unfair competition, anti-discrimination violations or false advertising;

xli) could be harmful or potentially harmful to Socxo's or Socxly's server or AI infrastructure, as determined at Socxo's sole discretion, including overloading of technical infrastructure or abusive automated querying of AI Features.

7.4 You unconditionally agree to use the Services, including any AI Feature and LinkedIn Hub, only for legal and legitimate purposes, in compliance with this ToS and in connection with Your legitimate business, professional or personal use.

7.5 You shall not, while utilising the Services:

xlii) access, tamper with, penetrate or use Socxo's or Socxly's servers, computers, AI models/infrastructure, or those of its third-party service providers, other than as intended as part of the Services;

xliii) probe, scan or test the vulnerability of any system or network, or breach or circumvent any security or authentication measures;

xliv) interfere with or disrupt (or attempt to do so) the access of any other Authorised User or registered customer/client of Socxo/Socxly, including by sending viruses or malicious code, overloading, flooding or spamming the Services, or scripting Content creation (including automated AI Feature calls) so as to interfere with or unduly burden the Services;

xlv) sublease Your account to third parties.

7.6 Enforcement. A breach of this Clause 7 constitutes Misuse for the purposes of Clause 6.6 and may result in immediate suspension or termination of Your account and permanent deletion of Your data without notice, in addition to any other remedies available to Socxo under this ToS or applicable law.

8) Mobile Application / Browser Extension

8.1 Socxly is also made available as a mobile application on iOS, Android and Windows, and as an extension application on various web browsers, with limited functionality. You may download our mobile application/browser extension to avail Yourself of the Services.

8.2 Socxo may require access to Your device screen resolution, IMEI number, location and related telemetry data to provide and improve the Services, and You unconditionally agree to provide such access for utilising Our Services through the mobile and browser extension application.

9) Artificial Intelligence Features, Use and Disclaimer

9.1 Use of Generative AI. Socxly, including within LinkedIn Hub, uses Generative AI, large language models (LLMs) and related AI models/services (whether proprietary or provided by third-party vendors) to power AI Features such as AI Post Text Generation, post ideation, image modification and the AI ideation chat. Socxo/Socxly will select, configure and use such models based on the needs of the relevant feature(s), and reserves the right to add, remove, substitute or change the underlying AI model(s) or vendor(s) at its sole discretion, at any time and without prior notice to You.

9.2 No Responsibility for AI Output. Socxo/Socxly is not responsible for, and does not warrant or guarantee, the accuracy, completeness, appropriateness, originality, legality, non-infringement or fitness for any purpose of any output, content, suggestion, image or text generated by any AI Feature ("AI Output"). AI Output may contain errors, be factually incorrect, reflect model bias or limitations, or resemble output generated for other Users.

9.3 User Discretion and Verification. You are advised to exercise discretion in Your use of AI Features and are wholly and solely responsible for reviewing, editing and independently verifying any AI Output before publishing, sharing, relying upon or otherwise using it, including verifying factual accuracy, suitability for Your intended audience, and compliance with applicable law, third-party rights (including intellectual property rights) and the platform terms of LinkedIn or any other social media platform to which such content is posted.

9.4 No Liability for Reliance. Socxo/Socxly shall have no liability whatsoever for any loss, damage, claim or consequence, direct, indirect or consequential, arising from Your use of, publication of, or reliance upon any AI Output, or from any decision made by You based on AI Output.

9.5 Misuse of AI Features. Use of any AI Feature for an illegitimate or illegal purpose, or in violation of Clause 7 or this ToS, constitutes Misuse under Clause 6.6 and may result in immediate account termination and permanent data deletion without notice.

9.6 Third-Party AI Terms. Where an AI Feature is powered by a third-party AI vendor, such vendor's applicable terms, acceptable use policies and data handling practices may also apply, and Socxo/Socxly shall bear no responsibility for the acts, omissions or output of such third-party AI vendor.

10) LinkedIn Hub Features

10.1 Overview. LinkedIn Hub is a LinkedIn-focused Social Media Management feature suite within Socxly, available to Individual Users and Business Users (as defined in Clause 2), offering the features described below, which Socxo/Socxly may expand, modify or withdraw at its discretion in accordance with Clause 12.2 and Clause 19.

10.2 AI Post Creation. LinkedIn Hub offers AI-assisted post ideation and creation for LinkedIn, including posts built around images, PDFs and web links, together with AI Post Text Generation options, image modification tools and short-link generation, all subject to the AI use terms in Clause 9.

10.3 Preview, Publishing and Scheduling. LinkedIn Hub allows You to preview a created post, share it immediately, or schedule it by date and time interval, and subsequently edit, remove or republish such posts.

10.4 Analytics. LinkedIn Hub provides detailed LinkedIn post and connected Page analytics to help Individual Users and Business Users measure the performance of their content.

10.5 Post Intelligence. LinkedIn Hub offers Post Intelligence, a feature that identifies and displays the names and LinkedIn profile URLs of persons who have engaged with (liked, reacted to or commented on) a User's LinkedIn posts. You acknowledge that such engager data is derived from publicly visible engagement on Your own posts and is provided to help You understand Your audience; You remain solely responsible for the lawful use of such data as set out in Clause 10.7 and Clause 15.4.

10.6 Socxo Signals. Post Intelligence data may further be used, together with Socxly's Short Link engagement data, to help both Individual Users and Business Users identify potential customers, partners and employees, by leveraging the upcoming Socxo Signals platform, Socxo's AI-native Buyer Intelligence and Sales Enablement platform. Availability of Socxo Signals features may be phased, plan-dependent, and subject to separate or supplementary terms which will be made available to You upon activation of Socxo Signals.

10.7 Lawful Use Obligation. You represent and warrant that Your use of Post Intelligence and Socxo Signals data, including any outreach, marketing, sales or recruitment activity undertaken using names or LinkedIn profile URLs obtained through these features, will comply with all applicable data protection and privacy laws (including, where applicable, the Personal Data Protection Act of Singapore, the EU/UK GDPR, DPDP, India, CCPA, California or other similar laws), LinkedIn's own platform policies and terms of use, and this ToS. You shall indemnify Socxo/Socxly in accordance with Clause 19 for any claim arising from Your use of such data.

10.8 Additional Features. LinkedIn Hub will further offer additional post creation and management capabilities over time, including but not limited to LinkedIn Pulse Article creation, direct messaging (DM) on LinkedIn post comments, a Post Calendar, and post-generation ideas via an AI chat interface, each subject to the AI use terms in Clause 9 where applicable.

10.9 Platform Compliance. You acknowledge that Your use of LinkedIn Hub to access, post to, or retrieve data from LinkedIn is additionally subject to LinkedIn's own terms of service, developer policies and API terms, and You are responsible for ensuring Your use of LinkedIn Hub complies with the same. Socxo/Socxly reserves the right to modify or discontinue any LinkedIn Hub feature to maintain compliance with LinkedIn's platform requirements, without liability to You.

11) Plans and Pricing

11.1 Socxly, through Socxo, may offer limited Free Plans besides various Paid Subscription Plans across different payment cycles, providing certain features or functionalities according to the respective plan. Any changes to Subscription Plans will be displayed on the relevant pages at www.socxo.com and/or www.socxly.com.

11.2 Short Link / Smart Link Plans. Socxly's existing Short Link feature set continues to be available under an Always-Free Plan besides Priced Plans, as displayed on the Socxly Pricing page.

11.3 LinkedIn Hub Plans. LinkedIn Hub features described in Clause 10 will be made available under Free and/or Paid plans as displayed on the Socxly Pricing page, which may differ from, or be offered in addition to, the Short Link plans referred to in Clause 11.2.

11.4 Feature Availability by Plan. The specific AI Features, Post Intelligence limits, analytics depth and Socxo Signals access available to You will depend on Your subscribed plan, as displayed on the Pricing page or within the application at the relevant time.

11.5 Token/Credit-Based Pricing. LinkedIn Hub features are priced, in whole or in part, on a Token or Credit consumption model. Each Subscription Plan will be allocated a specified number of Tokens/Credits, which are consumed based on Your usage of metered LinkedIn Hub features (including, without limitation, AI Post Creation, AI Post Text Generation, image modification and other AI Features).

11.6 Discretion to Change. Socxo/Socxly reserves the right, at its sole discretion, to determine, vary or change (a) the number of Tokens/Credits allocated to any plan, (b) the Token/Credit cost of any feature, and (c) the validity period or expiry of allocated Tokens/Credits, at any time, with such changes to be reflected on the Pricing page or within the application.

11.7 Top-Ups. You may be permitted to purchase additional Tokens/Credits on a pay-as-you-use basis, as displayed on the Pricing page or within the application, subject to the payment terms in Clause 4.4.

11.8 No Refund or Carry-Over. Unless expressly stated otherwise on the Pricing page or in Your applicable Terms of Purchase, unused Tokens/Credits are non-refundable, non-transferable between accounts, and do not carry over beyond the applicable plan cycle or Term.

11.9 Deletion on Account Removal. Tokens/Credits associated with an account removed under Clause 6 (inactivity or Misuse) or Clause 18 (Termination) are forfeited without refund.

12) Third Party Service Providers and Value Added Services

12.1 We utilise the services of various third-party service providers, including SSO access to Socxly app using Google, Facebook, Microsoft and/or Apple ID, AI model/vendor providers referred to in Clause 9, in bringing You some of Our Services. While availing Yourself of Our Services, You agree to be bound by the relevant terms and conditions of such third-party service providers. You may review such third-party terms, which will be made available to You while You activate and use the relevant value-added or AI-powered service.

12.2 Value Added Services. Socxly, in association with its technology partners and other third-party service providers, provides certain Value Added Services to its Users. Some Value Added Services may be provided at no additional cost, while others may incur additional cost on a pay-as-you-use basis (see Clause 4.4 and Clause 11). Please refer to the Website, Application, Pricing Page or Partner page for details.

xlvii) The above is not exhaustive and is subject to change as Socxly/Socxo brings You more innovative and useful services, including further LinkedIn Hub and Socxo Signals capabilities, over time. As with all services provided in conjunction with third-party service providers, Socxo does not provide any warranty or take responsibility for any aspect of such Value Added Services, including uninterrupted service. Socxo/Socxly reserves the right to withdraw any Value Added Service without giving any reasons.

13) Content Rights

13.1 All rights pertaining to the Content used on the Socxly application service (including LinkedIn Hub posts, Pulse Articles and Content generated with the assistance of an AI Feature) belong to You or the respective IP rights holder. We do not claim any rights in the Content. You will be solely responsible for creating, managing, editing, reviewing, deleting and otherwise controlling all Content displayed on Socxly or shared to external pages by You, subject to the terms of this ToS.

13.2 You warrant that You are the sole and unencumbered owner of all Content (including Content produced with the assistance of an AI Feature and subsequently adopted by You), and that all Content is original and does not infringe any Intellectual Property or other rights of any third party, save that Socxo makes no representation as to the originality of AI Output as set out in Clause 9.

13.3 We shall not be liable for, and You shall indemnify Us against, any third-party claims that any of Your Content, including Content displayed on the Socxly application, LinkedIn Hub, or shared on social networks, infringes the Intellectual Property or other rights of any third party.

14) Intellectual Property

14.1 Socxo Pte. Limited shall be the sole and exclusive owner of all intellectual property rights associated with Socxo, Socxly (including LinkedIn Hub, Post Intelligence and Socxo Signals) and its Services, including www.socxo.com and the Socxo/Socxly web, mobile and extension applications, save for Content created/used by You. You shall not misuse or use any intellectual property of Socxo or Socxly without proper written authorisation. Violation of Socxo's intellectual property rights will be viewed seriously and Socxo reserves the right to initiate appropriate legal action, including criminal prosecution.

14.2 All intellectual property rights of any third-party service (including third-party AI models) utilised remain with their respective owners. You grant Socxo a non-exclusive, transferable, sub-licensable, royalty-free, worldwide licence to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute any intellectual property content owned/used by You that You submit, post or upload to www.socxo.com and/or the Socxly web, mobile and extension application, including Your trademark, logo, service mark, testimonials and recommendations, on Socxo's and Socxly's websites, social media pages, emailers, whitepapers and blogs.

14.3 All trademarks, logos and service marks displayed on www.socxo.com and the Socxly web, mobile and extension application (including LinkedIn Hub branding) are registered and unregistered trademarks of Socxo/Socxly and/or authorised third parties ("Trademarks"). You shall not use, copy, reproduce, republish, upload, post, transmit, distribute or modify these Trademarks in any way. All material on www.socxo.com and www.socxly.com is copyrighted except where explicitly excluded.

15) Data Collection and Privacy

15.1 Please read our Privacy Policy to understand the collection and storage of Your data. By using the Services provided by Socxo through Socxly, You consent to the collection, use, processing and disclosure of Your personal information in accordance with the Privacy Policy.

15.2 Data associated with an Inactive Account will be handled in accordance with Clause 6, including permanent deletion following the 60-day inactivity period and prior 15-day notice.

15.3 Where an AI Feature is used, Your inputs and prompts may be processed by Socxo or its third-party AI vendors as necessary to generate AI Output, in accordance with the Privacy Policy and, where applicable, the terms of the relevant third-party AI vendor referred to in Clause 9.6.

15.4 Post Intelligence and Socxo Signals data, including names and LinkedIn profile URLs of persons engaging with Your posts, will be processed in accordance with the Privacy Policy. You acknowledge Your independent obligations as a data controller or processor (as applicable) under Clause 10.7 in respect of any onward use of such data.

16) Disclaimers and Warranties

16.1 Except as provided in this ToS, and to the fullest extent allowed by applicable law, We make no claims, warranties or representations, express, implied or statutory, and expressly waive and disclaim any implied warranties of merchantability, fitness for a particular purpose or satisfactory quality with respect to the Services We provide, including any AI Feature.

16.2 The Services Socxo and Socxly provide are only a platform for social content and advocacy marketing, including LinkedIn Hub and related AI Features, for Registered Companies and eligible Individuals. The success of the Socxly service depends on factors beyond Our control, including the quality of Content, User discretion in AI Output verification (Clause 9), and the reliability of LinkedIn or other social media/marketing platforms; hence We do not guarantee any level of success.

16.3 We do not guarantee uninterrupted Service, as uptime depends on factors beyond Our control including Your internet connection, hardware availability, electricity, uptime of Our cloud hosting providers, and availability of underlying third-party AI models or LinkedIn's own platform/API. Services may also be interrupted if Your Content triggers Our (or Our service provider's) malicious code and virus blocking system, and We take no responsibility for such interruptions, including false triggers.

16.4 You are responsible for all Content, posts, shared comments and data created by You, including AI Output You choose to publish. We are not responsible or liable for any content, data or text posted or shared through Our Services to any social media or similar app, and You shall indemnify Us against any direct, indirect or consequential loss or damages arising from the same. We do not control Content residing on the Socxly application service or shared through any social media service.

16.5 We shall not be liable for any default or interruption in Services attributable to events beyond Our reasonable control ("Force Majeure Events"), including acts of God, fires, floods, explosions, accidents, severe weather, embargoes, wars, riots, civil or military authority, civil disturbance, terrorist activity, labour disputes, strikes, governmental requirements, hacking, server malfunction, third-party AI vendor or LinkedIn platform outage, breakdown of machinery, default of third parties, and similar events.

17) Suspension of Services

17.1 In the event of any violation of this ToS observed by Socxo personnel, or on reliable written complaint from third parties alleging disparaging content or intellectual property violation, Socxo may, at its sole discretion, with or without intimation, and with or without reasons, suspend the Services and take any other action it deems appropriate.

17.2 Suspension shall specifically include disabling Your Account and/or access to information or data related to Your account for such periods as mentioned in Clause 17.3, subject always to Clause 6.6, under which Misuse results in immediate termination without the notice/cure opportunity described below.

17.3 For suspensions not arising from Misuse under Clause 6.6, You will be notified and given an opportunity to correct the breach. If not corrected within ten (10) days of such notice, Your account may be terminated under Clause 18.2. No refund requests shall be entertained for or during the period of suspension.

17.4 Where a violation is not corrected and results in termination of Your account, Your data/content may be archived as required by law (if the violation is against the laws of the applicable country), or otherwise may be permanently deleted without recourse to recover such data/content.

18) Termination

18.1 Termination for Non-Payment. To avail Yourself of Paid Plan Services, You are required to make payments per Your Plan Subscription. The Services shall terminate forthwith on expiry of Your Term unless renewed prior to expiry.

18.2 Termination by Socxo/Socxly. We reserve the right to terminate the Services forthwith in the event of a breach of this ToS by You; termination for breach does not entitle You to any refund. This includes termination under Clause 6.1 to 6.3 (inactivity) and Clause 6.6 (Misuse), each with its own applicable notice treatment as described therein.

18.3 Termination by You. You may terminate Our Services at any time; however, no amount shall be refunded where You stop using Our Services prior to expiry of Your Term. Save as set out in Clause 6 (inactivity/Misuse deletion), Your Account data may not be permanently deleted without recourse to recover the content/data used by You in Your Account, unless You separately request account and data deletion.

19) Indemnification

19.1 You agree to indemnify, defend and hold Us and Our affiliates, directors, officers, employees, partners and agents harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys' fees, resulting from any third-party claim, action, dispute or demand arising from Your use of the Services and/or violation of this ToS, or from Your placement or transmission of any materials or content (including AI Output You adopt or publish, and any Post Intelligence/Socxo Signals data You use) onto Our (or Our service provider's) servers. Such liabilities may include, but are not limited to, those arising from:

xlviii) infringement or misappropriation of any intellectual property rights;

xlix) defamation, libel, slander, obscenity, pornography, or violation of privacy, data protection or publicity rights, including in connection with Post Intelligence or Socxo Signals data;

l) spamming, or any other offensive, harassing or illegal conduct or violation of the acceptable use provisions in Clause 7 or any anti-spam policy;

li) Misuse of the platform or any AI Feature as described in Clause 6.6 and Clause 9;

lii) any damage or destruction to Socxo's and Socxly's scripts/servers/equipment or to any of Our clients, caused by or resulting from Your acts or omissions, including those of Your designates and authorised personnel;

liii) any personal injury or property damage arising from Your activities related to the Services; and

liv) any other damage arising from Your content, AI Output You publish, equipment or business.

20) Limitation of Liability

20.1 You shall be solely responsible for the consequences of Your use of the Services, including any AI Feature and any use of Post Intelligence or Socxo Signals data.

20.2 We shall not be liable for any indirect or consequential loss, damage, cost or expense of any kind arising from Your use of the Services, however caused, whether arising under contract, tort (including negligence) or otherwise, including loss of production, loss or corruption of data, loss of profit or contracts, loss of operation time, or loss of goodwill or anticipated savings, even if We were advised of their possibility.

20.3 Socxo's total liability (whether in contract, tort, including negligence, or otherwise) under or in connection with this ToS and any other agreement with You relating to the Services, or based on any claim for indemnity or contribution, shall not exceed 25% of the sum of the fees (including any amounts paid for Tokens/Credits) You have paid to Us within the preceding twelve (12) months.

23) Modification

23.1 We reserve the right to modify or update any terms of this ToS or the associated Privacy Policy without direct intimation to You, though We may display a general notification on Our website. You are required to periodically check the ToS for changes or modifications, including updates relating to LinkedIn Hub features, AI Features and Token/Credit pricing described herein.

24) Assignment

24.1 This Service is provided to You, the Eligible Individual and/or Registered Entity, through its Authorised User(s). You shall not assign the Services to any third party for any reason.

24.2 Socxo, through Socxly, may assign the responsibility of providing the Services to its affiliates and associates, including subsidiary, parent company or sister concerns, without notice to You, provided such assignment does not cause any interruption in the Services.

25) Dispute Resolution

25.1 In case of any dispute, difference or controversy of whatever nature arising under or in relation to this ToS, including any question regarding its existence, validity, termination or interpretation (a "Dispute"), the directors or other senior representatives of the Parties with authority to settle the Dispute shall, within seven (7) days of a written request from one Party to the other, first seek to resolve the Dispute amicably through good faith negotiations.

25.2 If the Dispute is not resolved by good faith negotiations within seven (7) days of the written request under Clause 25.1, or such further period as the Parties may agree in writing, the Dispute shall be referred to and finally resolved by arbitration in accordance with Clause 25.3.

25.3 Subject to compliance with Clauses 25.1 and 25.2, any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, breach or termination, shall be referred to and finally resolved by arbitration in Singapore at the Singapore International Arbitration Centre ("SIAC"), or at such other venue in Singapore as the Parties may agree in writing, in accordance with the SIAC Rules. The tribunal shall consist of a single arbitrator appointed by the Chairman of the SIAC. The decision of the tribunal shall be final and binding on both Parties. The language of arbitration shall be English. The Parties undertake to keep the arbitration proceedings and all related information, pleadings, documents and evidence confidential.

25.4 The foregoing provisions of this Clause 25 shall not prevent any Party from applying to court for injunctive or equitable relief, and the Parties submit to the jurisdiction of the Singapore courts for this purpose.

26) Governing Law

26.1 This ToS shall be governed by and construed in accordance with the laws of Singapore.
